Terms of Service

1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Ocilar ("Company", "we", "us") governing your access to and use of the Ocilar website at ocilar.com and all related APIs, services, and products (collectively, the "Service").
By creating an account, accessing our API, or using any part of our Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement. You may not use the Service if you are barred from receiving services under applicable law.
If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration
To access the API, you must register for an account and obtain an API key. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials and API keys confidential
- Notify us immediately at security@ocilar.com if you suspect unauthorized use of your account or API key
- Be responsible for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation
- Access systems, accounts, or data without authorization from the owner
- Scrape, harvest, or extract data from websites or services in violation of their own terms of service
- Conduct unauthorized penetration testing, vulnerability scanning, or cyberattacks
- Commit fraud, identity theft, or financial crimes
- Transmit malware, spyware, or any malicious code
- Circumvent security measures in a manner that causes harm to third parties
- Resell or redistribute the Service without our express written consent
- Abuse, threaten, or harass any person
- Impersonate any person or entity
We reserve the right to determine, in our sole discretion, what constitutes a violation of this section and to terminate accounts accordingly.
5. API Usage and Rate Limits
Your use of the API is subject to the rate limits and quotas associated with your plan. We reserve the right to throttle or suspend API access if you exceed your plan limits or if your usage negatively impacts service availability for other users.
Rate limits are enforced per API key. Circumventing rate limits by creating multiple accounts or API keys is a violation of these Terms and may result in account termination.
We reserve the right to modify rate limits and quotas with reasonable notice.
6. Payments and Billing
Paid plans are billed in advance on a monthly basis. Pay-as-you-go credits are consumed as requests are made. All prices are in USD.
- Subscriptions — auto-renew monthly. Cancel any time; cancellation takes effect at the end of the current billing period.
- PAYG credits — prepaid and non-expiring. Minimum purchase of $2 USD.
- Refunds — subscriptions are non-refundable except where required by law. PAYG credits are non-refundable once purchased, except in cases of service failure on our end.
- Failed payments — if a payment fails, we will attempt to retry for up to 7 days before suspending your account.
We reserve the right to change pricing with 30 days notice to active subscribers. Price changes do not apply to current billing periods.
7. Service Level Agreement (SLA)
For Enterprise and Unlimited plans, we target a monthly uptime of 99.9% for the API. Uptime is measured excluding scheduled maintenance, which will be announced with at least 24 hours notice.
For free and lower-tier plans, we provide the Service on a best-effort basis without uptime guarantees.
Service credits for SLA violations are the sole remedy for downtime and are limited to a maximum of one month of subscription fees.
8. Intellectual Property
All content, software, trademarks, logos, and other intellectual property on the Service are owned by or licensed to Ocilar. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Service without our express written permission.
You retain ownership of any data you submit to the Service. By submitting data, you grant us a limited, non-exclusive license to process that data solely to provide the Service to you.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy of any results returned by the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OCILAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO OCILAR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ocilar and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit to the Service.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms. You may terminate your account at any time through your account settings.
Upon termination, your right to use the Service immediately ceases. Sections 8, 9, 10, 11, and 13 survive termination.
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration. You waive any right to participate in class action lawsuits against Ocilar.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify registered users via email of material changes at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
